Terms of Service

By accessing or using ProposalKit ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. These Terms apply to all users, including contractors, team members, and any individuals who access the platform.

ProposalKit reserves the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

ProposalKit is a cloud-based software platform designed for HVAC contractors to create, send, track, and get proposals electronically signed. The Service includes:

• HVAC proposal creation and management tools
• Pre-built templates for common HVAC job types
• Electronic signature collection
• PDF generation and email delivery
• Proposal tracking and analytics
• Customer management features

We may add, modify, or discontinue features at our discretion. We will provide reasonable notice of any material changes to the Service.

To use ProposalKit, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that team members added to your account comply with these Terms

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business.

ProposalKit offers subscription-based pricing with monthly or annual billing. By subscribing, you agree to:

• Pay the applicable subscription fee for your selected plan
• Automatic renewal at the end of each billing cycle unless cancelled
• Provide accurate and current billing information
• Acknowledge that refunds are provided at our discretion

Prices may change with 30 days' written notice. Your free trial period, if applicable, does not require a credit card. After the trial, access to paid features requires an active subscription.

You agree to use ProposalKit only for lawful purposes. You shall not:

• Use the Service to send fraudulent, misleading, or deceptive proposals
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble any aspect of the platform
• Use the Service to store or transmit malicious code or spam
• Share your account credentials with unauthorized third parties
• Use the Service in any way that could damage, disable, or impair the platform
• Violate any applicable local, state, national, or international law

The ProposalKit platform, including its design, code, templates, logos, and documentation, is owned by ProposalKit, Inc. and protected by intellectual property laws.

Your Content: You retain all rights to the proposals, customer data, and business information you create and store in ProposalKit. We do not claim ownership of your content.

Our License: You grant ProposalKit a limited license to use, process, and store your content solely for the purpose of providing the Service to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPOSALKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to ProposalKit in the twelve (12) months preceding the claim.

ProposalKit is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Either party may terminate this agreement at any time:

• By You: Cancel your subscription through your account settings at any time. Your access will continue until the end of your current billing period.
• By Us: We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity.

Upon termination, you may export your data for up to 30 days. After that period, your data will be permanently deleted from our servers.

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service at least 30 days before the changes take effect.

Your continued use of ProposalKit after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should discontinue use of the Service.
